This document governs the terms and conditions of the Flazio Affiliate Program (hereinafter also referred to as "Contract") and is concluded between the company Flazio S.r.l., headquartered in San Giovanni La Punta, Via Mazzini n. 2, C.F. and VAT number 05021040877, REA number: CT-337298, hereinafter also referred to as "Flazio" and the individual or legal entity, or the association, indicated in the online registration form, as "the Applicant" (hereinafter "Affiliate"), collectively referred to as "Parties or Contractors".
Premise:
a) that Flazio provides a Website builder service, which can be activated by end users through the website www.flazio.com, with the possibility to select free (Free) or paid (Pro) profiles;
b) that the paid service (Pro) can also be activated through personalized promotional codes generated by Flazio and uniquely associated with specific subjects;
c) that Flazio intends to promote the dissemination of its paid services (Pro), also through the creation of a network of Affiliates, independent entities that, on a completely occasional basis, promote Flazio's Pro services on their own websites using unique Identification Codes;
d) that the Affiliate, an independent manager of a website, in exchange for financial compensation, is interested in publishing and promoting, under the terms and conditions of this contract, the activation codes generated for him by Flazio. That being said, it is agreed and stipulated as follows:
1. PREMISES
The aforementioned premises are an integral part and essential elements of this contract and constitute its sole and indivisible element.
2. SUBJECT OF THE CONTRACT
2.1 - This affiliate program is aimed at both non-professionals and Freelancers, Agencies, Companies that manage sites with medium-high traffic volumes.
2.2 - With this contract, Flazio grants the Affiliate, on a temporary and non-exclusive basis, a unique Affiliate Identification Code (CIA) for the promotional activation of paid Website Builder services (Pro) provided by Flazio.
2.3 - Joining the affiliate program allows the Affiliate to promote, on an occasional basis, without any geographical, product, and/or user exclusivity, Flazio's paid services (Pro) and to receive, through the use of their own CIA, a remuneration for each Pro service actually activated and paid to Flazio by the end user.
2.4 - This contract exclusively provides for the activation of Flazio Pro services in the manner and with the features available on the date of this contract and as indicated on the website www.flazio.com
3. CONTRACT FINALIZATION
3.1 - This contract is finalized on the date of correct and timely receipt by Flazio of the registration form, completed and accepted by the Affiliate in all its parts. The submission of the order form entails the Affiliate's full acceptance of all the Terms and Conditions of the Affiliation contract. Upon activation of the Affiliation, an email will be sent to the email address indicated by the Affiliate in the order form, including the CIA.
3.2 - By submitting the registration form, the Affiliate acknowledges and accepts that the only valid and effective version of the contract is the one in Italian, while any other versions provided by Flazio in any other foreign language are made available to the Affiliate solely as a courtesy.
4. AFFILIATION CONDITIONS
4.1 - The Affiliate undertakes to promote the use of Flazio's Website Builder services, operating on an entirely occasional basis, with absolute freedom, operational independence and schedule, and without any obligation of stability and/or subordination to Flazio, from which it remains a completely autonomous and distinct economic entity.
4.2 - The Affiliate shall not claim any power of representation of Flazio, nor shall they provide information about Flazio's business or clients that could harm it, create doubt, or mislead anyone about the actual nature of the Affiliate relationship and the characteristics of the services provided by Flazio.
4.3 - In promotional activities, the Affiliate undertakes not to use untruthful expressions or those that may emphasize functions that the Flazio software does not support or features not present in it, or services and functionalities that Flazio has not already committed to providing in its commercial communication.
4.4 - No responsibility, burden, or additional cost arising from the promotion of Flazio software carried out by the Affiliate, including the violation of laws and regulations, can ever be attributed to Flazio, a party completely unrelated to the promotional activity carried out by the Affiliate.
4.5 - The Affiliate will promote the Flazio Software by adopting, exclusively at their own expense and in their own name, the means deemed necessary to promote Flazio's Pro Website Builder services.
4.6 - The Affiliate agrees that the site declared by him during registration will be subject to monitoring by Flazio for periodic verification of compliance with this agreement.
4.7 - Flazio reserves the unquestionable right to accept or reject the affiliation request if the Affiliate, or the site managed by them, proves unsuitable for the program.
5. EXCLUSIVE
5.1 - The Affiliate, for the duration of this contract, undertakes not to promote, distribute or install, to its clients operating on the Web, additional electronic programs that have functionalities similar or competitive with its own Website Builder software.
5.2 - The Affiliate may not, under any circumstances, either directly or through their own collaborators, promote and propose the provision of services identical or similar to those provided by Flazio.
5.3 - The Affiliate does not have, and cannot claim, any territorial and/or product or customer exclusivity, and therefore Flazio remains fully free to operate in any market directly or indirectly, even through other parties who have joined this affiliate program
6. INTELLECTUAL PROPERTY
6.1 - The Flazio software covered by this contract, any updates, and the related documentation are the exclusive property of Flazio, protected by copyright laws to safeguard trademarks and combat unfair competition, and by all applicable proprietary rights.
6.2 - The Affiliate acknowledges the full ownership and all industrial and intellectual property rights of the Flazio software and waives any dispute and/or claim on the ownership of the Flazio Software.
6.3 - The Affiliate undertakes not to remove or make invisible the Flazio logo and trademarks related to the Intellectual Property Rights affixed to the Website Builder Software and all Flazio communication materials.
6.4 - Flazio grants the Affiliate the non-exclusive, non-transferable right strictly limited to the duration and pursuit of the purposes of this affiliation agreement, to use the Flazio trademark exclusively on the Web page of their site describing the Flazio Website Builder services. Each license to use the Flazio trademark will expire simultaneously with the expiration, withdrawal, or termination of this contract, and the Affiliate undertakes to promptly remove the Flazio trademark from the site and any other support or promotional material where it has been improperly used.
6.5 - The Affiliate undertakes not to use the Flazio brand in any case and for any reason in domain names, links, sponsored links, keywords, banners, emails, etc., which may cause confusion to the end user. The Affiliate is considered the sole responsible for any damages, indemnity requests, compensation, legal actions, resulting from the use of the Flazio logo.
6.6 - The Affiliate grants Flazio the right to use its brand on Flazio's website and in commercial communication, as a testament to the success of the program and the affiliates involved.
6.7 - Flazio will prepare banners in different formats, which can be used by the Affiliate within their own web and social channels.
7. DURATION
7.1 - This contract has a duration of one year, from the acceptance of these terms and conditions.
7.2 - At each annual expiration, this contract will be tacitly renewed for a subsequent period of one year, unless notice of termination is communicated by one of the parties to the other, via email sent to the address partners@flazio.com, 30 days before the expiration of this contract.
8. CONSIDERATIONS
8.1 - For each service activated and actually paid for by end users, through the Affiliate Identification Code (CIA), they will be entitled to the payment of a commission, provided that no amount will be due if the end user, attributable to the Affiliate's CIA, should withdraw from the service within the legal terms, requiring Flazio to refund the related price.
8.2 - The commission that will be recognized to the Affiliate upon the first activation, which occurred through the CIA, will be equal to 80€ (eighty/€). In addition, for each annual renewal made by the end user recognized through the CIA, the Affiliate will be paid a 'Lifetime' commission of 10€ (ten/00), as long as they keep their subscription with Flazio active.
8.3 - The right to the commission will mature only when the activation of the paid service (Pro) by the end user can be considered final and no longer revocable, and only following the actual and definitive collection by Flazio of the fees due from the end user.
8.4 - If Flazio detects illegal activities, fraud, anomalies, repeated and unjustified refund requests and/or disputes, even if made by end users against Flazio and/or electronic payment systems, it will suspend the Affiliate's account, offsetting at its sole discretion, the credits deemed suspicious with those regular and still owed.
8.5 - The commissions are to be understood as inclusive of all applicable taxes from any law applicable to the transaction, including VAT and any other taxes and/or duties that may be applicable to the Affiliate based on the legislation of the State in which it operates or that are in any case attributable to its activity. The Affiliate is the only party responsible for their payment and solely responsible for the non-payment of the same to the competent authorities and entities.
8.6 - The payment of commissions will occur on a quarterly basis starting from February, based on the activations generated by the Affiliate in the previous quarter with a delay of 60 (sixty) days, detected and certified as correct and legitimate by Flazio's monitoring systems. The certification prepared by Flazio constitutes the sole and indisputable tool for determining the activations attributable to the Affiliate and, consequently, for quantifying the commissions due to him.
8.7 - Only if the minimum threshold of €500.00 (five hundred/00) has been reached, the Affiliate may redeem the payment of the definitive activations and the 'Lifetime' commission, attributable to the Affiliate's CIA, independently through the internal panel provided by Flazio.
8.8 - If the Affiliate has not reached the minimum threshold to request payment, the accrued commissions will be accumulated for the calculation in the new quarter.
8.9 - It is understood that the activation of a monthly PRO plan by the end user recommended by the Affiliate will not generate any initial activation commission, but will contribute to generating the 'Lifetime' commission as per point 8.2, as long as there are no outstanding debts in favor of Flazio.
8.10 - If the end user recommended by the Affiliate subscribes to an annual PRO subscription using one of the current promotions sponsored by Flazio, the Affiliate will be paid a commission of €30 (thirty/00) instead of €80. This activation will contribute to generating the 'Lifetime' commission as per point 8.2.
8.11 - Upon receipt of the commission certification, the Affiliate is required, in order to obtain payment of the amount due from Flazio, to issue an invoice in their own name, including the certified amount in EURO and all necessary data to make an international transfer (IBAN, CAB, ABI, SWIFT). Payment will be made by transfer to the coordinates indicated on the invoice or via the Affiliate's PayPal account, within 60 days following the receipt of the invoice by email from the Affiliate. The Affiliate is to be considered solely responsible for any errors in the bank details sent. Transfer and currency exchange fees are to be considered the sole responsibility of the Affiliate.
8.12 - It is expressly agreed that the commissions are all-inclusive in nature and therefore Flazio will not owe any further commercial and marketing support, economic contribution, expense reimbursement, credit, compensation for the promotional activity independently carried out by the Affiliate.
8.13 - Flazio may at its discretion evaluate any advances of commissions in favor of those Affiliates who, due to their marketing investments, the characteristics of their site, the number and type of activations already carried out, the geographical area covered, are considered important for this program, and therefore deserving of benefits. The methods of offsetting the advances with the commissions subsequently accrued will be the subject of a separate agreement with the interested Affiliate.
9. OBLIGATIONS OF THE AFFILIATE
9.1 - The Affiliate declares to be of legal age and to have provided, at the time of online registration, complete, truthful, and accurate information. The Affiliate declares to have full ownership of the site declared during registration or to be authorized by the legitimate owner to carry out promotional activities of Flazio Pro services on the same, including through the insertion of the CIA.
9.2 - The Affiliate guarantees that their website will not convey, distribute, promote, or disseminate in any way illegal, offensive, threatening, defamatory, obscene, harassing, discriminatory, violent content, infringing copyright, trademarks, or intellectual property rights, related to and/or inciting hatred and/or racial, class, gender, religious discrimination, pornography, any content contrary to morality and good customs, or content that may damage, even just by association and/or juxtaposition, the reputation of Flazio and the services it provides.
9.3 - The Affiliate undertakes to include on their website a statement, easily visible, of their current participation in the Flazio Affiliate Program, which provides for remuneration for each Flazio Pro service activated by a user coming from the site. The Affiliate assumes full and exclusive responsibility for the actual publication of the statement and for the violation of current laws, rules, and regulations.
9.4 - Flazio declares itself free to modify, according to its own commercial needs or legal obligations, the functionalities and prices of its Pro services. In this case, the Affiliate, upon receiving notification via email from Flazio, is required to promptly modify all conflicting information published on their website and on any other promotional media used.
9.5 - The Affiliate undertakes to achieve a minimum number of 15 annual activations, both annual and monthly PRO, concluded with the actual and final payment by the end user. If, for any reason, the minimum number of transactions is not reached, this Affiliate relationship may be terminated at Flazio's sole discretion, pursuant to the following art. 15.2.
9.6 - The Affiliate undertakes not to modify their CIA and to use it in good faith exclusively within the limits and conditions of this affiliate program. The Affiliate is to be considered the sole responsible for any damages, errors, inaccuracies resulting from unauthorized modification of the CIA.
9.7 - The Affiliate undertakes to check the correct use and formatting of their CIA in the URL. Flazio will not be in any way responsible for the failure to track CIAs configured or formatted incorrectly.
9.8 - Upon the expiration of this contract, for any reason or cause, the Affiliate agrees to remove from their website, or the one they manage, all references to this agreement, the Flazio brand, links with the CIA, and any other informational and promotional content.
10. AFFILIATE'S RESPONSIBILITY
10.1 - The Affiliate is to be considered the sole manager and responsible for all hosting, maintenance, development, modification, graphics, and content update activities of their own website or any site they may manage on behalf of third parties. The Affiliate agrees to indemnify and hold Flazio harmless from any expenses, claims, requests for damages, processing reimbursement, software license, or service costs that may be advanced by third parties, for sites attributable to the Affiliate or containing their CIA.
10.2 - The Affiliate assumes full responsibility for the chosen marketing channels, the advertising forms implemented, and the related content, being solely responsible for any disputes or legal violations, regardless of their source and reason. The Affiliate expressly declares to be the sole and exclusive author and responsible for the promotional and marketing activities resulting from or connected to this Affiliation contract and undertakes to indemnify and hold Flazio harmless from any action, including legal, for compensation, indemnity, reimbursement, indemnity, and any other civil, criminal, administrative liability resulting, directly and/or indirectly, from the marketing and promotional activities (e.g., Mailing, or SPAM) carried out by the Affiliate and/or in the absence of consent, and/or in violation of law, current or future rules and regulations.
10.3 - The Affiliate expressly declares to be the sole and exclusive author and responsible for the creation, publication, and dissemination of any illegal, offensive, threatening, defamatory, obscene, harassing, discriminatory, violent content, infringing third-party copyright, trademarks, or intellectual property rights, related to and/or inciting hatred and/or racial, class, gender, religious discrimination, pornography, or any content contrary to morality and good customs, conveyed, distributed, promoted, published, or disseminated by him in any way.
10.4 - The Affiliate expressly declares to indemnify and hold Flazio harmless from any action, including legal, compensation, indemnity, reimbursement, indemnity, and any other civil, criminal, administrative liability resulting directly and/or indirectly from the marketing and promotional activities carried out by the Affiliate, whether in violation of intellectual property, rules, laws, and regulations in force or to be issued in the future, as well as the terms of this affiliation contract.
10.5 - The Affiliate undertakes to carry out the activities covered by this Affiliation contract in compliance with all laws, rules, regulations, ordinances, and judgments applicable in the jurisdiction in which it operates, including but not limited to, rules on advertising, personal data processing, sending emails, SMS, and electronic communications, in force or to be issued during the term of this agreement. It is the Affiliate's duty and responsibility to fully understand the applicable regulations.
10.6 - The Affiliate is to be considered solely responsible for all actions and/or omissions carried out by its employees, collaborators, consultants, agents, suppliers, and anyone who has acted on its behalf, in violation of laws, rules or regulations, the rights of third parties, and the terms of this affiliation contract.
11. OBLIGATIONS OF FLAZIO
11.1 - Flazio undertakes to provide the Affiliate with a properly functioning CIA capable of accurately detecting the number of Pro activations attributable to it. Flazio also undertakes, in the mutual interest of the parties, to prepare and ensure the full functionality of the registration and payment process for the end user, as well as the Website Builder Software.
11.2 - Flazio will provide maintenance and updates for the Website Builder Software, at its sole discretion and, where required, by new regulatory provisions, malfunctions, or errors.
11.3 - Flazio, in full autonomy of time and manner, may develop new modules or specific features to integrate into the software without any financial commitment or consent from the Affiliate.
11.4 - Flazio undertakes to provide the Affiliate with an online control panel to verify, in real time, the value of the commissions accrued. The amount indicated in the panel may be subject to change until official certification by Flazio, due to any irregular activities that may be detected by Flazio on the Affiliate's account.
12. DISCLAIMER OF LIABILITY
12.1 - Flazio is not responsible for any direct or indirect damages, loss of profit, business losses and/or commercial opportunities caused to the Affiliate and/or the End User in fulfilling the obligations under this contract, as a result of the use or non-use of Flazio's Software, as well as in case of suspension, interruption, malfunction, temporary or permanent unavailability of the same.
12.2 - Flazio is not responsible and does not assume any obligation towards the Affiliate and/or the End User, for any possible damage or dispute arising from any discrepancies of the Flazio Software with the expectations of the Affiliate and/or the End User or as a result of discrepancies in the functionalities and technical characteristics declared by Flazio or the Affiliate in the commercial communication or subsequent and indisputable modifications.
12.3 - Flazio is not responsible, except in cases of willful misconduct or gross negligence, for any direct damages, loss of profit, business and/or commercial opportunities caused to the Affiliate by the End User, as a result of this contract, even if resulting from the suspension of licenses or interruption of the service referred to in the above art. 12.1.
12.4 - Flazio is not responsible for direct damages such as, by way of example and not limited to, loss of profit, business and/or commercial opportunities losses, and for anything that may result from the use or non-use of the Flazio Software or the services provided, from errors, omissions, even in the event of interruptions, suspensions, delays in the provision of maintenance services, even if arising from technical problems, computer intrusions or other unlawful interference or use of data by unauthorized third parties, unless they are directly and immediately attributable to willful misconduct or gross negligence by Flazio.
13. ASSIGNMENT OF THE CONTRACT
13.1 - The Affiliate is expressly and totally prohibited, in the absence of specific written authorization from Flazio, from transferring this contract to third parties.
13.2 - Flazio may assign this contract if it deems it appropriate or necessary.
14. UNILATERAL AMENDMENT OF THE CONTRACT
14.1 - Flazio reserves the right to unilaterally modify the terms and conditions of this Affiliation contract at any time, providing the Affiliate with a 15 (fifteen) day notice of the change.
14.2 - Any changes will be communicated by Flazio via the email declared by the Affiliate with the order form and will be applied from the first useful renewal following the changes, which may include, by way of example but not limited to, variations in the amount or method of determining the Affiliate Commissions referred to in art.8, the methods and terms of payment, the obligations of the Affiliate, the terms of this agreement.
14.3 - The Affiliate, upon receiving notification of the unilateral modification made by Flazio to the contract, will have the option to withdraw from the Affiliate Program by sending a simple request email and retaining their full right to the payment of commissions accrued up to the date of their request.
15. WITHDRAWAL FROM AFFILIATION
15.1 - Flazio expressly reserves the right to withdraw at any time and with immediate effect from the affiliation relationship, without any obligation of notice or motivation, and subject to the Affiliate's right to receive payment of commissions accrued up to the moment the withdrawal became effective and the Affiliate was informed via the email indicated at the time of activation of this contract and deemed by the Affiliate to be valid and always operational.
15.2 - Flazio reserves the right to cancel the CIA if the Affiliate has not brought, within a year from the signing of this contract, at least 15 Pro orders to conclusion, as indicated in the above art. 9.5. Flazio undertakes to pay the credit accrued up to the date of withdrawal, provided that the Affiliate has complied with the terms of this Affiliation contract and no fraud, anomalies, undue and repeated disputes have been detected, even by end users.
15.3 - In the case referred to in art.14.3, the Affiliate will have the option to withdraw from the Affiliate Program by sending a request email to Flazio; the Affiliate's right to receive payment of commissions accrued up to the date of sending the email remains unaffected.
15.4 - Upon termination, for any reason, of the affiliation relationship, the Affiliate's promotional code will be deactivated and the Affiliate must remove from their website the codes obtained from Flazio. The Affiliate cannot claim anything or make any request following the aforementioned termination.
16. EXPRESS TERMINATION CLAUSE
16.1 - The parties agree that Flazio, without prejudice to the right to compensation for damages, shall have the right to immediately and retroactively terminate this contract pursuant to art. 1456 c.c., in the event that the Affiliate fails to comply with even one of the following obligations: a) art. 4 - Conditions of Affiliation; b) art. 5 - Exclusivity; c) art. 6 - Intellectual Property; d) art 8.3 - Fees/Illegal Activities; e) art. 9 - Additional Obligations of the Affiliate; f) art. 10 - Liability of the Affiliate; g) art. 13 - Assignment of the contract by the Affiliate.
16.2 - Upon the occurrence of one of the aforementioned hypotheses and the automatic retroactive termination of this contract, the unique code issued by Flazio will be deactivated and the Affiliate must remove it from their website. Any compensation possibly accrued by the Affiliate, up to the date of termination of this contract, will not be owed by Flazio.
16.3 - The Affiliate may not claim anything or make any request following the termination
17. COMMUNICATIONS
17.1 - Any communication between the parties relating to this contract must be addressed to the attention of their respective legal representatives and sent to them via the email address indicated at the time of activation of this contract.
17.2 - The parties declare the aforementioned address valid and current, at which they elect, for all legal purposes, their legal domicile for communications related to this contract and commit to informing each other of any changes.
18. CONFIDENTIALITY
18.1 - During the term of this Affiliation contract and even after its expiration, the parties agree to treat all data and information they become aware of during the execution of this contract as confidential and not to use them for purposes other than those strictly agreed upon.
18.2 - Flazio reserves the right to transmit data or information to parties delegated to perform the services related to the subject of this contract.
19. PRIVACY PROTECTION
19.1 - The processing of personal data of the contractors and their Legal Representatives is to be considered lawful pursuant to Art. 6 paragraph 1 letter b) of Reg EU/2016/679, limited to the needs and purposes of this contract.
19.2 - The processing of personal data communicated by the Affiliate to Flazio for the execution of this Contract and the services strictly connected, will take place in accordance with the European Regulation 679/2016 and the Privacy Policy provided by Flazio during online registration and based on the consent to data processing expressed by the Affiliate at that time.
19.3 - The Affiliate, in the person of the registrant, expressly declares to have received and carefully reviewed the information on the processing of their personal data, for the purposes indicated therein, and to have expressed their full, informed, and granular consent, through the conscious selection of the relevant checkboxes at the time of signing this contract.
20. OTHER CONTRACTS
20.1 - The possible existence of additional contractual relationships between the parties does not create any connection between them and this contract, which remains in all respects a separate and autonomous act.
21. FINAL PROVISIONS
21.1 - No modification, condition, clause not contained in this contract shall be effective between the parties, unless expressly approved in writing.
21.2 - Any tolerant or permissive behaviors, even if repeated, in the failure to comply with the obligations arising from this contract will not constitute any right, nor modify obligations, nor will they be considered a waiver of asserting rights.
21.3 - Flazio's inability to exercise or enforce a right or certain terms of this Affiliate Agreement does not constitute a waiver of such right or to subsequently request the application of any provision of this Affiliate Agreement.
21.4 - The relationships between Flazio and the Affiliate established by this contract cannot be understood as relationships of mandate, partnership, representation, collaboration, or association or other similar or equivalent contractual forms.
21.5 - Flazio reserves the right to make changes and/or additions to these terms and conditions at any time; in such a case, it will invite already active affiliates to review and accept the new terms and conditions, under penalty of immediate termination of the relationship without the Affiliate being able to claim any compensation and/or indemnity of any kind.
21.6 - The nullity, even subsequent, of one or more clauses will not result in the partial or total nullity of the entire contract, but only of the defective clause which will be considered as not affixed, in consideration of the principle of preservation of the legal transaction.
22 - REFERENCE TO LEGAL PROVISIONS AND COMPETENT COURT
22.1 - This contract is subject to Italian law.
22.2 - The conditions expressed in this contract deviate from the law, where permitted.
22.3 - For any dispute relating to this contract, not otherwise resolvable through amicable settlement or conciliation procedure, the parties expressly recognize the exclusive jurisdiction of the Court of Catania, and knowingly waive, where permitted by law, the natural forum of the contracting parties. This contract was finalized in Catania, on the date recorded by the log files and monitoring systems of Flazio servers.
THIS AFFILIATION AGREEMENT HAS BEEN CAREFULLY READ AND UNDERSTOOD BY THE PARTIES AND ONLY AFTERWARDS FREELY AND CONSCIOUSLY SIGNED BY SPECIFIC SELECTION OF THE "GENERAL CONTRACT CONDITIONS" CHECKBOX. THE TERMS AND CONDITIONS EXPRESSED HEREIN ARE THEREFORE BINDING ON THE CONTRACTING PARTIES FOR ALL LEGAL PURPOSES.
